Ms. Lewis, who joined the Board in September 2024, brings over three decades of senior leadership experience within the consumer goods sector.

Dawn Zier, Chair of the Board, emphasized the timing and rationale behind this leadership change, stating, “The Board believes this is the appropriate moment for a leadership transition. We are grateful that Alison Lewis, a highly experienced executive known for her expertise in driving profitable growth and innovation, will lead the company on an interim basis as we search for the next permanent CEO. Our focus during this period remains on maximizing the value of the Hain enterprise.”

Interim CEO’s Vision and Commitments

Upon her appointment, Alison Lewis expressed her dedication to the role, emphasizing her intent to lead with full commitment. “I am eager to guide Hain with the same dedication I would provide as a permanent CEO. Our priority is to enhance operational performance. With a capable leadership team in place, we will continue efforts to improve earnings power, strengthen the balance sheet, and strategically position the company for sustained long-term success,” she remarked.

Comprehensive Strategic Review Underway

Alongside the leadership change, the Hain Celestial Board is conducting a rigorous review of the company’s portfolio and overall strategy. This process is being supported by independent financial advisor Goldman Sachs & Co. The goal is to explore a range of strategic alternatives aimed at unlocking shareholder value.

Chair Dawn Zier commented on this initiative: “Considering recent company performance, the Board has determined that a thorough assessment of Hain’s strategic direction and portfolio is necessary to identify the best path forward for maximizing shareholder value. Throughout this evaluation, we remain committed to operating effectively and focusing on sustainable growth and value creation.”

No specific timeline has been established for the completion of the strategic review. The company plans to withhold further updates until a definitive course of action is approved by the Board or until disclosures become necessary.
